These Terms of Service ('Terms') constitute a legally binding agreement between you ('Client,' 'you,' or 'your') and ViralAILabs ('Company,' 'we,' 'us,' or 'our') governing your use of our website located at virailabs.com and our AI SDR omnichannel sales services.

By accessing our website, submitting an inquiry, booking a strategy call, or executing a service agreement, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to be bound by these Terms in their entirety.

ViralAILabs provides a done-for-you AI SDR (Sales Development Representative) omnichannel outbound sales service, which may include: high-intent data capture and prospecting, LinkedIn automation and outreach, AI-powered email sequences, AI voice agent outbound calling, SMS follow-up automation, and campaign management and reporting.

The specific services provided to you will be defined in a separate Service Agreement or Statement of Work executed between you and ViralAILabs. These Terms apply to all services unless otherwise expressly modified in writing by ViralAILabs.

EARNINGS DISCLAIMER: ViralAILabs makes no guarantees of specific results, leads, appointments, or revenue from the use of our AI SDR services. All case studies, performance statistics, and testimonials presented on this website reflect individual client experiences under specific circumstances and are not representative of typical or average results.

Individual results will vary significantly based on your industry, offer quality, pricing, target market, sales team's ability to close, market conditions, competitive landscape, and other factors entirely outside ViralAILabs' control. You acknowledge that ViralAILabs has not made any express or implied guarantees of income, leads, appointments booked, or business results of any kind.

Any performance metrics, appointment volumes, reply rates, or revenue figures mentioned on this website are provided as illustrative examples only. There is no assurance you will achieve the same or similar results. By engaging our services, you accept full responsibility for your own business outcomes.

All fees for ViralAILabs services are due and payable as specified in your Service Agreement. Fees may include but are not limited to: onboarding fees, setup fees, monthly retainer fees, per-lead or per-appointment fees, and any additional campaign costs.

All invoices are due upon receipt unless otherwise specified in your Service Agreement. ViralAILabs reserves the right to suspend or terminate services for non-payment. You are responsible for all applicable taxes, duties, and fees associated with your purchase of our services.

ALL PAYMENTS TO VIRAILABS ARE STRICTLY NON-REFUNDABLE. This no-refund policy applies to all fees paid to ViralAILabs without exception, including but not limited to: onboarding fees, setup fees, monthly service retainers, management fees, per-lead or per-appointment fees, prepaid campaign credits, and any other amounts paid.

Once a Service Agreement has been executed and work has commenced — including but not limited to account setup, data sourcing, campaign configuration, script development, platform integration, or any outreach activity — all fees paid are fully earned by ViralAILabs and are non-refundable.

ViralAILabs does not offer pro-rated refunds, partial refunds, service credits, or any form of monetary compensation for: dissatisfaction with campaign results, failure to achieve expected lead volumes or appointment rates, change of business direction or strategy, inability of your sales team to close leads generated, early cancellation or termination of services, or any other reason whatsoever.

By engaging ViralAILabs services, you explicitly and irrevocably waive any right to initiate a chargeback, payment dispute, or reversal with your financial institution, credit card company, or payment processor for any services rendered or fees paid to ViralAILabs. You acknowledge that initiating an unauthorized chargeback constitutes a material breach of these Terms and your Service Agreement, and may result in legal action to recover the disputed amount plus all associated legal fees, collection costs, and damages.

You are solely responsible for: providing accurate and complete information about your target audience, ideal client profile, and business offerings; ensuring your products, services, and business practices comply with all applicable laws; reviewing and approving all campaign messaging, scripts, and outreach materials before deployment; maintaining the ability to handle and respond to leads and appointments generated by our services; and ensuring your sales team is properly trained and available to close leads delivered by ViralAILabs.

You represent and warrant that your business, products, services, and target market comply with all applicable local, state, federal, and international laws and regulations, including without limitation the CAN-SPAM Act, TCPA, GDPR, CCPA, and all applicable telemarketing and data privacy laws.

ViralAILabs operates its services in good-faith compliance with applicable laws including the CAN-SPAM Act, TCPA (Telephone Consumer Protection Act), GDPR (General Data Protection Regulation), CCPA (California Consumer Privacy Act), and LinkedIn's User Agreement and Professional Community Policies.

As a client, you bear ultimate responsibility for ensuring that your campaigns, target audiences, and use of our services comply with all applicable laws in your jurisdiction and the jurisdictions of your prospects. ViralAILabs shall not be liable for any regulatory fines, penalties, legal actions, or damages arising from your failure to comply with applicable laws.

All content on this website, including but not limited to text, graphics, logos, images, campaign frameworks, methodologies, and software, is the exclusive property of ViralAILabs or its licensors and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use this website for the purpose of evaluating and engaging our services. You may not copy, reproduce, distribute, modify, create derivative works from, or exploit any content from this website without prior written consent from ViralAILabs.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIRAILABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES OR THIS WEBSITE.

IN NO EVENT SHALL VIRAILABS' TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO VIRAILABS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Either party may terminate the service relationship upon written notice as specified in your Service Agreement. ViralAILabs reserves the right to immediately terminate services if you breach these Terms, fail to make timely payment, or engage in conduct that ViralAILabs determines, in its sole discretion, to be harmful to its reputation or operations.

Upon termination, all fees paid are non-refundable as stated in Section 5. Any outstanding fees owed to ViralAILabs remain due and payable upon termination.

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Florida, without regard to its conflict of law provisions.

Any dispute arising from or related to these Terms or our services shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Florida, and the arbitrator's decision shall be final and binding.
